1. Acceptance of Terms

BY CREATING AN ACCOUNT, ACCESSING, BROWSING, OR USING TFILELY IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY, AS WELL AS OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT USE THE SERVICE AND MUST IMMEDIATELY DELETE YOUR ACCOUNT IF ONE EXISTS.

You further acknowledge that your use of TFilely necessarily involves interaction with Telegram's services and APIs. You are independently, solely, and exclusively bound by and must comply with Telegram's Terms of Service, Privacy Policy, and Bot API Terms at all times. TFilely does not assume, accept, or bear any responsibility whatsoever for your compliance or non-compliance with Telegram's policies, terms, or rules.

2. Service Description and Nature

TFilely is a web-based file management interface that connects to Telegram through bot tokens you voluntarily provide. File uploads and downloads are performed directly between your browser and Telegram. TFilely enables you to upload, download, organize, and manage files stored on Telegram.

TFILELY IS NOT A STORAGE PROVIDER, CLOUD STORAGE SERVICE, OR BACKUP SERVICE. ALL FILES ARE STORED EXCLUSIVELY ON TELEGRAM'S SERVERS. TFILELY DOES NOT HOST, STORE, CACHE, COPY, MIRROR, BACK UP, INDEX, OR RETAIN YOUR FILES OR FILE CONTENTS IN ANY FORM WHATSOEVER.

TFILELY IS NOT AFFILIATED WITH, ENDORSED BY, SPONSORED BY, AUTHORIZED BY, OR IN ANY WAY OFFICIALLY CONNECTED WITH TELEGRAM MESSENGER INC., TELEGRAM FZ-LLC, OR ANY OF THEIR SUBSIDIARIES OR AFFILIATES. ALL TELEGRAM-RELATED TRADEMARKS, SERVICE MARKS, TRADE NAMES, AND LOGOS ARE THE PROPERTY OF THEIR RESPECTIVE OWNERS.

THE AVAILABILITY, INTEGRITY, PERMANENCE, SECURITY, AND CONTINUED EXISTENCE OF YOUR FILES DEPENDS ENTIRELY AND EXCLUSIVELY ON TELEGRAM AND IS COMPLETELY OUTSIDE OUR CONTROL, INFLUENCE, OR RESPONSIBILITY.

3. User Responsibilities and Assumption of Risk

BY USING TFILELY, YOU ACCEPT FULL, SOLE, AND EXCLUSIVE RESPONSIBILITY FOR:

  • Maintaining the confidentiality and security of your account credentials, passwords, and Telegram bot tokens at all times.
  • All activity that occurs under your account, whether authorized by you or not, including any unauthorized access resulting from your failure to secure your credentials.
  • Creating, managing, securing, and revoking Telegram bot tokens in full compliance with Telegram's Terms of Service, Bot API Terms, and all related policies.
  • All content you upload, store, manage, access, transfer, or distribute through the service. You are the sole owner, controller, and legally responsible party for your content.
  • Maintaining independent backups of all files, data, and information that are important to you. TFilely cannot and will not recover, restore, or retrieve lost files under any circumstances whatsoever, regardless of the cause of loss.
  • Understanding and accepting all risks of using Telegram bots for file storage, including but not limited to: rate limiting, bot bans, bot token revocation, file deletion, file corruption, account suspension, account termination, API changes, policy changes, or any other action by Telegram.
  • Complying with all applicable local, state, national, and international laws, regulations, and rules, including but not limited to copyright law, data protection law, and export control regulations.
  • Ensuring that your use of TFilely does not violate any third-party rights, including intellectual property rights, privacy rights, or contractual obligations.

4. Telegram Compliance and Third-Party Terms

TFilely interacts with Telegram's Bot API on your behalf using bot tokens you voluntarily provide.

YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND IRREVOCABLY AGREE THAT:

  • You have independently read, understood, and agree to comply with Telegram's Terms of Service, Privacy Policy, and Bot API Terms before using TFilely.
  • TFilely bears absolutely no responsibility for any action Telegram takes against your account, bots, files, or data, including but not limited to: account suspension, account termination, permanent bans, bot token revocation, bot bans, rate limiting, throttling, file deletion, file quarantine, or any other restriction or penalty of any kind.
  • TFilely does not and cannot guarantee that its use of the Telegram Bot API will remain compatible with Telegram's current or future policies, terms, API specifications, or technical requirements, any of which may change at any time without notice.
  • If Telegram changes its policies, API, terms, pricing, technical requirements, or availability in any way that affects TFilely, we may modify, limit, suspend, or permanently discontinue any or all parts of the service without prior notice, without compensation, and without any liability to you.
  • Any and all consequences arising from your use of Telegram through TFilely, including but not limited to data loss, file deletion, account restrictions, account termination, financial loss, or legal liability, are entirely and exclusively your responsibility.
  • TFilely does not monitor, verify, or enforce your compliance with Telegram's terms. Your compliance is entirely your own obligation.

5. Subscription and Billing

TFilely offers paid subscription plans with a 7-day free trial.

  • Payment is processed exclusively by Stripe. By subscribing, you independently agree to Stripe's terms of service and privacy policy.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
  • You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds, partial refunds, or credits of any kind are provided for any reason.
  • We reserve the right to change pricing at any time with 30 days notice to active subscribers.
  • NO REFUNDS, CREDITS, OR COMPENSATION OF ANY KIND WILL BE ISSUED IF THE SERVICE BECOMES UNAVAILABLE, DEGRADED, LIMITED, OR DISCONTINUED DUE TO THIRD-PARTY ACTIONS (INCLUDING BUT NOT LIMITED TO TELEGRAM API CHANGES, TELEGRAM OUTAGES, TELEGRAM POLICY CHANGES, STRIPE ISSUES, OR ANY OTHER CAUSE OUTSIDE OUR DIRECT CONTROL).
  • YOU ACKNOWLEDGE THAT THE SERVICE MAY BECOME PARTIALLY OR WHOLLY INOPERABLE AT ANY TIME DUE TO FACTORS OUTSIDE OUR CONTROL AND THAT SUBSCRIPTION PAYMENTS ARE NON-REFUNDABLE REGARDLESS OF SERVICE AVAILABILITY.

6. Acceptable Use

You agree not to use TFilely to:

  • Store, upload, distribute, transmit, or share any illegal, infringing, defamatory, obscene, harmful, threatening, or otherwise objectionable content.
  • Violate Telegram's Terms of Service, Bot API Terms, Privacy Policy, or any applicable local, national, or international law.
  • Abuse, overload, circumvent, or attempt to bypass Telegram's API rate limits, restrictions, or security measures.
  • Reverse-engineer, decompile, disassemble, scrape, copy, reproduce, or exploit TFilely, its source code, or its infrastructure in any unauthorized manner.
  • Share account credentials, create multiple accounts, or resell access to the service.
  • Use the service in any way that could harm TFilely, its infrastructure, its reputation, other users, or any third-party service.
  • Use the service for any purpose that is fraudulent, deceptive, or designed to cause harm to any person or entity.

WE RESERVE THE RIGHT TO IMMEDIATELY SUSPEND OR PERMANENTLY TERMINATE ANY ACCOUNT THAT VIOLATES THESE TERMS, AT OUR SOLE AND ABSOLUTE DISCRETION, WITHOUT PRIOR NOTICE, WITHOUT EXPLANATION, AND WITHOUT REFUND OR COMPENSATION OF ANY KIND.

7. Disclaimer of Warranties

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

TO THE FULLEST AND MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TFILELY IS PROVIDED ON A STRICT "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
  • Any warranty that the service will be uninterrupted, timely, error-free, secure, virus-free, or available at any particular time or at all.
  • Any warranty regarding the safety, security, integrity, availability, reliability, accuracy, or permanence of files stored on Telegram or any other third-party service.
  • Any warranty of compatibility with current or future versions of Telegram's API, policies, terms, or technical specifications.
  • Any warranty that the service will meet your requirements, expectations, or intended purpose.
  • Any warranty regarding the accuracy, reliability, or completeness of any information or content obtained through the service.
  • Any warranty that defects, errors, or security vulnerabilities will be corrected.

YOU USE TFILELY ENTIRELY AND EXCLUSIVELY AT YOUR OWN RISK. ANY MATERIAL DOWNLOADED, UPLOADED, OR OTHERWISE OBTAINED THROUGH THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK.

8. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TFILELY, ITS OPERATORS, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "TFILELY PARTIES") SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:

  • Loss, corruption, deletion, destruction, or unavailability of any files, data, or information stored on Telegram or any other platform.
  • Telegram account suspensions, restrictions, warnings, bans, permanent terminations, or any other adverse action by Telegram.
  • Bot token revocations, invalidation, rate limiting, throttling, or any API access restrictions imposed by Telegram or any other party.
  • Service interruptions, downtime, degradation, unavailability, or discontinuation for any reason whatsoever.
  • Unauthorized access to your account, data, or files due to compromised credentials, security breaches, or any other cause.
  • Any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind whatsoever.
  • Lost profits, lost revenue, lost savings, lost data, lost business opportunities, or business interruption.
  • Any damages arising from third-party service changes, outages, policy updates, terms changes, security breaches, or discontinuation (including but not limited to Telegram, Stripe, and Supabase).
  • Any damages arising from your reliance on the service or your inability to use the service.
  • Personal injury, property damage, or any other damages of any nature arising from your use of or inability to use the service.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ALL TFILELY PARTIES, FOR ALL CLAIMS OF ANY KIND ARISING FROM OR RELATED TO THE SERVICE, EXCEED THE LESSER OF: (A) THE AMOUNT YOU ACTUALLY PAID FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00 USD). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF TFILELY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ALL TFILELY PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, SUITS, DAMAGES, LOSSES, LIABILITIES, OBLIGATIONS, COSTS, AND EXPENSES (INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEYS' FEES, COURT COSTS, AND EXPERT FEES) ARISING FROM OR RELATED TO:

  • Your use or misuse of the service.
  • Your violation of these Terms of Service or our Privacy Policy.
  • Your violation of Telegram's Terms of Service, Bot API Terms, Privacy Policy, or any other third-party terms, policies, or agreements.
  • The content you upload, store, access, manage, transfer, or distribute through the service.
  • Your violation of any applicable law, regulation, or third-party right (including intellectual property rights and privacy rights).
  • Any third-party claim of any nature arising from or related to your use of TFilely.

This indemnification obligation shall survive the termination of your account and these Terms of Service.

10. Licensing and Attribution

TFilely incorporates open-source components licensed under the MIT License, including GramJS (Telegram MTProto client library). All other aspects of the TFilely service are proprietary.

11. Termination

WE MAY SUSPEND, RESTRICT, OR PERMANENTLY TERMINATE YOUR ACCOUNT AND ACCESS TO THE SERVICE IMMEDIATELY, WITHOUT PRIOR NOTICE, WITHOUT EXPLANATION, AND WITHOUT LIABILITY, FOR ANY REASON OR NO REASON, AT OUR SOLE AND ABSOLUTE DISCRETION. THIS INCLUDES BUT IS NOT LIMITED TO: VIOLATION OF THESE TERMS, VIOLATION OF TELEGRAM'S TERMS, SUSPECTED ABUSIVE OR FRAUDULENT BEHAVIOR, ACTIVITY THAT HARMS THE SERVICE, OTHER USERS, OR THIRD PARTIES, OR ANY OTHER REASON WE DEEM APPROPRIATE. NO REFUNDS, CREDITS, OR COMPENSATION OF ANY KIND WILL BE ISSUED FOR TERMINATED ACCOUNTS.

You may delete your account at any time. Upon termination (whether by you or by us), your account data will be handled in accordance with our Privacy Policy. Termination does not delete your files from Telegram, does not affect your Telegram account, and does not relieve you of your obligations under these terms. Sections 7, 8, 9, and 13 survive termination.

12. No Guarantee of Service Continuity

TFilely depends entirely on third-party services (Telegram, Stripe, Supabase) that may change their terms, APIs, policies, pricing, technical requirements, or availability at any time without notice to us or to you. TFilely may be modified, updated, interrupted, suspended, or permanently discontinued at any time, temporarily or permanently, with or without notice, for any reason or no reason. We shall not be liable to you or any third party for any modification, suspension, interruption, or discontinuation of the service under any circumstances.

13. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute, claim, or controversy arising from or related to these terms or your use of TFilely shall be resolved through binding arbitration or in a court of competent jurisdiction, at our sole discretion.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST TFILELY. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

14. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and TFilely regarding your use of the service. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and TFilely.

16. Changes to Terms

We may update these Terms of Service at any time without prior notice. We will make reasonable efforts to notify you of significant changes by email or through the service. Continued use of TFilely after any changes constitutes your binding acceptance of the updated terms. If you disagree with any changes, you must immediately stop using the service and delete your account.
